================================================================================ END USER LICENSE AGREEMENT (EULA) FOR VERICALL: CALLER ID & SPAM ================================================================================ Last Updated: October 13, 2026 Effective Date: October 13, 2026 IMPORTANT: PLEASE READ THIS END USER LICENSE AGREEMENT ("EULA" OR "AGREEMENT") CAREFULLY BEFORE DOWNLOADING, INSTALLING, COPYING, OR USING THE VERICALL: CALLER ID & SPAM APPLICATION ("THE APPLICATION" OR "APP"). BY DOWNLOADING, INSTALLING, OR USING THE APPLICATION ON ANY APPLE-BRANDED DEVICE, YOU ("END-USER" OR "YOU") AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT DOWNLOAD, INSTALL, OR USE THE APPLICATION, AND DELETE IT IMMEDIATELY FROM YOUR DEVICE. This Agreement is concluded between You and VeriCall ("Licensor", "we", "us", or "our"), and NOT with Apple Inc. ("Apple"). VeriCall, not Apple, is solely responsible for the Application and the content thereof. 1. ACKNOWLEDGMENT AND SCOPE OF LICENSE -------------------------------------------------------------------------------- 1.1 Parties: You and VeriCall acknowledge that this EULA is between You and VeriCall only, and not with Apple Inc. VeriCall is solely responsible for the Licensed Application and its content. 1.2 Grant of License: VeriCall grants You a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Application on any Apple-branded products running iOS that You own or control, and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions (except that such Licensed Application may be accessed and used by other accounts associated with the purchaser via Family Sharing or volume purchasing). 1.3 Commercial Use & Resale Prohibited: This license does not permit You to use the Application on any device that You do not own or control, and You may not distribute, lease, lend, sell, sublicense, or make the Application available over a network where it could be used by multiple devices at the same time. 2. RESTRICTIONS ON USE -------------------------------------------------------------------------------- You agree that You will NOT: 2.1 Decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the Application, any updates, or any part thereof (except as and only to the extent any foregoing restriction is prohibited by applicable law or permitted by licensing terms governing open-source components). 2.2 Modify, translate, adapt, enhance, or create derivative works from the Application. 2.3 Violate any applicable laws, rules, or regulations in connection with Your access to or use of the Application. 2.4 Use the Application for automated queries, data harvesting, scraping, mass harvesting of phone records, or any unauthorized commercial purpose. 2.5 Use the Application to harass, abuse, stalk, threaten, defame, or infringe upon the legal rights (including privacy and publicity rights) of any individual. 2.6 Interfere with or disrupt the servers, networks, or API services connected to the Application. 3. NATURE OF SERVICES AND DIRECTORY DISCLAIMERS -------------------------------------------------------------------------------- 3.1 Caller Identification & Spam Detection: VeriCall provides reverse phone number lookup, caller identification, and spam risk categorization derived from aggregated public directory data, third-party databases, and community contributions. 3.2 Accuracy Disclaimer: Because telephone registries and spam designations are frequently modified and dynamic, VeriCall DOES NOT GUARANTEE 100% ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF ANY CALLER IDENTIFICATION, NAME, CARRIER, LOCATION, OR SPAM REPUTATION DATA. The App is provided as an informational assistance tool only. 3.3 Call Blocking Functionality: Call blocking relies on Apple CallKit framework (CXCallDirectoryManager) and iOS system settings. VeriCall is not responsible for calls mistakenly blocked or calls that were not blocked due to carrier network variations, spoofed numbers, or iOS system state. 3.4 Emergency Services: The Application is NOT a replacement for your regular telephony service and MUST NOT be relied upon for calling emergency services (e.g., 911, 112, 999). 4. AUTO-RENEWING SUBSCRIPTIONS AND IN-APP PURCHASES -------------------------------------------------------------------------------- The Application offers optional auto-renewable subscription plans ("VeriCall Premium" / "Pro") to unlock enhanced features such as ad-free usage, unlimited caller lookups, and prioritized community spam shielding. 4.1 Subscription Tiers: - Weekly Subscription (Auto-Renewable) - Annual / Yearly Subscription (Auto-Renewable) Pricing is clearly displayed inside the Application and confirmed at the time of purchase. Prices may vary by geographic region and local currency. 4.2 Payment & Billing: - Payment will be charged to your Apple ID / iTunes Account upon confirmation of purchase. - Subscriptions automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current billing period. - Your Apple ID Account will be charged for renewal within 24 hours prior to the end of the current period at the rate of the selected plan. 4.3 Managing and Canceling Subscriptions: - You can manage or turn off auto-renewal at any time by going to your Apple ID Account Settings on your iOS device (Settings -> Apple ID -> Subscriptions). - Cancellations take effect at the expiration of the current active billing cycle. No partial refunds are provided for active billing periods. 4.4 Free Trial: - If a free trial period is offered, any unused portion of a free trial will be forfeited when the user purchases a subscription to that publication, where applicable. 4.5 Refunds: - All billing and transactions are processed directly by Apple. CONSENT TO USE OF DATA & PRIVACY -------------------------------------------------------------------------------- You agree that VeriCall may collect and use technical data, device information, and usage statistics to facilitate software updates, product support, and service improvements. All personal information collected or processed in connection with the Application is governed by the VeriCall Privacy Policy, which is incorporated into this EULA by reference. YOUR CONTACTS REMAIN ON YOUR DEVICE. VeriCall DOES NOT upload or sell your address book contacts to any external parties or centralized registries. 6. MAINTENANCE AND SUPPORT -------------------------------------------------------------------------------- 6.1 VeriCall Responsibility: VeriCall is solely responsible for providing any maintenance and support services with respect to the Application, as specified in this EULA or required under applicable law. 6.2 Apple Disclaimer: You and VeriCall acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Application. 7. NO WARRANTY -------------------------------------------------------------------------------- 7.1 "AS IS" Standard: YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE APPLICATION IS AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APPLICATION AND ANY SERVICES PERFORMED OR PROVIDED BY THE APPLICATION ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. 7.2 Disclaimer: VERICALL HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE APPLICATION, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS. 7.3 Apple Warranty Disclaimer: In the event of any failure of the Application to conform to any applicable warranty, You may notify Apple, and Apple will refund the purchase price for the Application to You (if any). To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be VeriCall's sole responsibility. 8. PRODUCT CLAIMS -------------------------------------------------------------------------------- You and VeriCall acknowledge that VeriCall, and not Apple, is responsible for addressing any claims of the End-User or any third party relating to the Application or the End-User's possession and/or use of the Application, including, but not limited to: (i) product liability claims; (ii) any claim that the Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation. 9. INTELLECTUAL PROPERTY RIGHTS & INFRINGEMENT CLAIMS -------------------------------------------------------------------------------- You and VeriCall acknowledge that, in the event of any third-party claim that the Application or the End-User's possession and use of the Application infringes that third party's intellectual property rights, VeriCall, and not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim. 10. LEGAL COMPLIANCE & EXPORT CONTROL -------------------------------------------------------------------------------- You represent and warrant that: (i) You are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) You are not listed on any U.S. Government list of prohibited or restricted parties. 11. THIRD-PARTY TERMS OF AGREEMENT -------------------------------------------------------------------------------- You must comply with applicable third-party terms of agreement when using the Application. For example, You must not be in violation of your wireless data service agreement or telecom carrier contract when using the Application. 12. THIRD-PARTY BENEFICIARY (APPLE) -------------------------------------------------------------------------------- You and VeriCall acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this EULA, and that, upon Your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against You as a third-party beneficiary thereof. 13. LIMITATION OF LIABILITY -------------------------------------------------------------------------------- TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL VERICALL, ITS DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, MISSED CALLS, TELECOMMUNICATION DISRUPTIONS, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APPLICATION, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF VERICALL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL VERICALL'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT OF FIFTY UNITED STATES DOLLARS ($50.00 USD) OR THE AMOUNT ACTUALLY PAID BY YOU FOR THE APPLICATION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. 14. TERMINATION -------------------------------------------------------------------------------- This EULA is effective until terminated by You or VeriCall. Your rights under this license will terminate automatically without notice from VeriCall if You fail to comply with any term(s) of this EULA. Upon termination of the license, You shall cease all use of the Application and delete all copies, full or partial, of the Application from your devices. 15. GOVERNING LAW AND SEVERABILITY -------------------------------------------------------------------------------- This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States (or the jurisdiction of the developer's primary place of business), excluding its conflict of law principles. If any provision of this EULA is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent. 16.
